NOTICE BY ORDER OF THE COURT OF CHANCERY OF THE STATE OF DELAWARE

To: All Persons Claiming an Interest in shares of stock in PDV Holding, Inc.

PLEASE TAKE NOTICE that Petróleos de Venezuela, S.A. (“PDVSA”), represented by the Ad Hoc Administrative Board, has filed an action in the Court of Chancery of the State of Delaware seeking to compel PDV Holding, Inc. (“PDVH”), a Delaware corporation, captioned Petróleos de Venezuela, S.A v. PDV Holding, Inc, C. A. No. 2023-0778-PAF, to cancel the outstanding stock certificate representing PDVSA’s ownership interest in 100% of the shares of PDVH (the “PDVH Stock Certificate”), which PDVSA alleges has been lost, stolen, or destroyed, and to issue a replacement stock certificate pursuant to Title 8, Section 168 of the Delaware Code (the “Application”).

If you claim an interest in the PDVH Stock certificate and/or any shares of stock in PDVH, as owner, transferee, pledgee or otherwise, your rights may be affected by the Application.

PLEASE TAKE FURTHER NOTICE that the Court of Chancery of the State of Delaware (the “Court”) has scheduled a hearing on the Application for November 21, 2023, at 1:30 p.m. at the Leonard L. Williams Justice Center, 500 French Street, Wilmington, Delaware, USA (the “Hearing”).

Any person claiming an interest in the PDVH Stock certificate and/or any shares of stock in PDVH (each, a “Claimant”) who wishes to be heard on the Application shall file with the Court and serve the parties, on or before November 15, 2023, with the following information to support their claim:

  1. The full legal name and address of the Claimant;
  2. The circumstances giving rise to the Claimant’s interest in the PDVH Stock certificate and/or any shares of stock in PDVH;
  3. Evidence, including affidavit(s), supporting the basis of their claim.

The Court will consider any properly supported claim at the Hearing.
